1. Acceptance of Terms
By accessing, registering for, or using the algorithmic trading software, strategies, website, or related services provided by Trade Metrix Technologies (“we”, “us”, “our”, “Trade Metrix”) at app.trademetrix.tech, you (“User”, “you”) agree to be legally bound by these Terms of Service (“Terms”). If you do not agree, do not use our services.
2. Nature of Service — Software Only
Trade Metrix Technologies is a technology company. We provide:
- Algorithmic trading software
- Pre-built, configurable trading strategies
- Backtesting tools
- Broker API integration utilities
We are NOT a SEBI-registered investment advisor, research analyst, stock broker, or portfolio manager. We do NOT provide investment advice, trading tips, buy/sell recommendations, profit guarantees, or any form of financial advisory service. All strategies are technology tools that execute logic the user chooses to deploy.
3. Eligibility
You must be at least 18 years old, legally competent to enter into binding contracts under Indian law, and possess a valid demat and trading account with a SEBI-registered broker to use our services. You are responsible for complying with all laws applicable to your trading activity in your jurisdiction.
4. Account Registration
You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@trademetrix.tech of any unauthorised access.
5. Risk Disclosure & User Responsibility
Trading in equities, derivatives, options, futures, and commodities involves substantial risk of loss. You acknowledge and agree:
- You may lose all of the capital you deploy, and potentially more in leveraged positions
- Past performance and historical backtest results do not guarantee future results
- All trading decisions, strategy selections, parameter configurations, and capital deployment are solely your responsibility
- You will trade only with capital you can afford to lose
- You are responsible for understanding how each strategy operates before deploying it on a live broker account
- You will conduct your own due diligence and may consult a SEBI-registered investment advisor before making investment decisions
6. Subscription, Payments & Auto-Renewal
Subscription plans are billed in advance for the selected plan duration (monthly, quarterly, half-yearly, or annual). Prices are displayed in Indian Rupees (INR) on the Pricing page and are inclusive of all applicable taxes unless otherwise stated.
Payments are processed by Paytm Payment Gateway. By subscribing, you authorise us, through Paytm, to charge your selected payment method for the subscription fee.
Subscriptions DO NOT auto-renew by default. You will be notified before subscription expiry and may renew manually. If you have explicitly opted into auto-renewal (where offered), you may cancel auto-renewal at any time from your account settings before the next billing date.
⚠ DEV NOTE: IMPORTANT — current site says “Auto Renewal · Cancel anytime.” You must decide: are subscriptions auto-renewing or not? If yes, you legally need a clear cancellation flow and pre-debit notification. The clause above assumes opt-in auto-renewal which is the safest model. Adjust if your actual flow differs.
7. Refunds & Cancellation
Our refund and cancellation terms are governed by our separate Refund & Cancellation Policy, available at app.trademetrix.tech/refund-policy, which forms part of these Terms.
8. Free Trial
We may offer a 2-day free trial. The trial provides limited access for evaluation only. No payment is collected for the trial. To continue beyond the trial, you must subscribe to a paid plan. We reserve the right to modify or discontinue the trial at any time.
9. License Grant & Restrictions
Subject to your active subscription, we grant you a non-exclusive, non-transferable, revocable license to access and use the software for your personal trading. You agree NOT to:
- Resell, sublicense, redistribute, or commercially exploit the software or strategies
- Reverse-engineer, decompile, or attempt to derive source code
- Share account credentials with others
- Use the software to provide trading advisory, signal services, or copy-trading services to third parties
- Scrape, mirror, or extract data from our platform
10. Third-Party Brokers
Our software integrates with third-party brokers (Zerodha, Angel One, Upstox, Fyers, 5Paisa, IIFL, Kotak, etc.) via their official APIs. Your use of those brokers is governed by their own terms and conditions. We are not responsible for broker downtime, order rejections by the broker, slippage, broker brokerage charges, or any losses arising from broker-side issues.
11. Disclaimers & Limitation of Liability
The software is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. We do not warrant that the software will be uninterrupted, error-free, or that defects will be corrected. To the maximum extent permitted by law, our total aggregate liability for any claim arising from or related to the service shall not exceed the subscription fees paid by you in the 3 months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, trading losses, loss of data, or loss of goodwill, even if advised of the possibility of such damages.
12. Indemnity
You agree to indemnify and hold harmless Trade Metrix Technologies, its directors, employees, and affiliates from any claims, damages, or expenses arising from your use of the service, your trading activity, your violation of these Terms, or your violation of any law or third-party rights.
13. Termination
We may suspend or terminate your account immediately, without refund, if you violate these Terms, engage in fraudulent activity, attempt to abuse the system, or use the software for any unlawful purpose. You may terminate your account at any time by contacting support@trademetrix.tech.
14. Modifications to Service & Terms
We may modify, suspend, or discontinue any feature of the software at any time. We may amend these Terms by posting the revised version on our website with an updated “Last updated” date. Continued use after changes constitutes acceptance.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts at [CITY], [STATE], India.
